  1. Authorized the RainFrog Growth Portfolio to buy 395 shares of Varsity Group at a price not to exceed $6.45 per share.
  2. Authorized the RainFrog Income Portfolio to invest in Chittenden Corporation, Hawaiian Electric, and SLM Corporation.

• February 12th, 2005

  1. Admitted as per section VI of the Agreement of Partnership, Catherine Robertson and Takashi Hayashi.
  2. Authorized the RainFrog Growth Portfolio to sell all current holding of in Genecor Inc, at $19.08 per share.
  3. Authorized Growth Portfolio to buy 44 shares of Canon Corp at $52.45 per share, 300 shares of Aristotle Preferred Series I at $8.38 per share, and up to 20 000 shares of Intrepid Resources & Technology.
  4. Authorized Income Portfolio to invest in Aristotle Preferred Series I subject to the limitations defined in the Agreement of Partnership.

• March 12th, 2005

  1. Authorized the Growth Portfolio to invest in Americare Corp and Adsero Corp.
  2. Reauthorized the RainFrog Growth Portfolio to invest in Intrepid Technologies and Resources, Inc.
  3. Authorized the RainFrog Growth Portfolio to sell half of the United Natural Foods holdings at $34.00 per share.

• April 9th, 2005

  1. Admitted as per section VI of the Agreement of Partnership, Tandi Brown.

• June 11th, 2005 (Annual Meeting)

  1. Elected the following officers for the 2005-2006 operational year:
     President: Tucker R. Gilman
     Vice President: Craig Robertson
     Treasure: Douglas Emmett
     Webmaster: Joey Pittoello
  2. Ammended the Agreement of Partnership to include a work contribution by adding sections XVII. (A) and (B) to read:

     XVII. Contributions In-kind.

     (A) Each partner shall contribute one hour per year in service to the partnership for each $500 in that partner's capital account. In-kind contributions shall be coordinated by the officers and recorded by the president.

     (B) Partner's not wishing to make contributions of service may opt instead for a 1% annual management fee to be assessed in monthly increments of 0.0833% and collected annually or upon withdrawal from the partnership. Management fees collected by the partnership shall be distributed among partners in proportion to the amount by which each partner's annual in-kind contributions exceed the requirement set forth in XVII. B. above.

• July 9th, 2005

  1. Authorized the Growth Portfolio to invest in Norfolk Southern and CSX, Canadian National, and Canadian Pacific railroads.
  2. Reauthorized the RainFrog Growth Portfolio to invest in Intrepid Technologies and Resources Inc.
  3. Authorized the Income Portfolio to invest in Abbey National PLC, Connecticut Water Service, and Massachusetts Health and Education Tax Exempt Trust.

• September 10th, 2005

  1. Admitted as per section VI of the Agreement of Partnership, Chris Kao, Kyle Holzhueter, Elisha Nord, Elizabeth Gilman (as manager of a trust account for Lea Gilman).
  2. Authorized the Income Portfolio to invest in Philippine Long Distance Telephone Company Series III Preferred Shares.

• October 8th, 2005

  1. Admitted Graeme Ball as per section VI of the Agreement of Partnership.
  2. Authorized the Growth Portfolio to sell RainFrog's position in Ballard Power at $6.00 per share and half of RainFrog's United Natural Foods shares at $39.95 per share.
  3. Authorized the Growth Portfolio to invest in Intermagnetics General at $29.11 per share, Education Management Corporation at $32.03 per share, Guangshen Railway at $16.00 per share, SunOpta Corp at $4.20 per share and EVCI Career Colleges Inc at $6.45 per share.

• November 12th, 2005

  1. Admitted Chay Cotter as per section VI of the Agreement of Partnership.
  2. Authorized the Growth Portfolio to sell RainFrog's position in Genesee & Wyoming Railroad at $40.00 per share.
  3. Authorized the Growth Portfolio to invest in Courier Corporation at $30.00 per share.

• December 10th, 2005

  1. Admitted Mitchell Isaacs as per section VI of the Agreement of Partnership.
  2. Authorized the Growth Portfolio to invest in Herman Miller Inc. at $32.12 per share, Appliance Recycle Centers of America (ARCI) at $4.35 per share share and Shimano at $20.00 per share.
  3. Set sell authorizations for Herman Miller at $37.45 and ARCI at $4.78 per share.
